Terms of Service

1. Acceptance of Terms

By accessing or using MerchantMind ("the Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including trial users and paying subscribers.

2. Description of Service

MerchantMind is an automated price management platform designed for sellers on the Takealot marketplace. The Service monitors competitor prices, applies user-configured repricing rules, and submits price updates to Takealot via the Takealot Seller API on behalf of the user. MerchantMind is an independent third-party tool and is not affiliated with, endorsed by, or officially connected to Takealot or any of its affiliates.

3. Eligibility

You must be at least 18 years of age and have a valid Takealot seller account to use the Service. By registering, you represent and warrant that all information you provide is accurate and complete.

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring your Takealot API key is valid and has appropriate permissions
• Configuring accurate floor and ceiling prices to protect your margins
• Complying with Takealot's seller policies and terms of service

You must notify us immediately at info@merchantmind.co.za if you suspect unauthorised access to your account.

5. Subscription and Billing

MerchantMind offers paid subscription plans billed monthly. By subscribing, you authorise us to charge your payment method via PayFast on a recurring basis. Subscriptions automatically renew unless cancelled.

A 14-day free trial is available on the Growth plan. No payment is required during the trial period. At the end of the trial, your account will be restricted unless you subscribe.

Prices are displayed in South African Rand (ZAR) and are subject to change. We will provide reasonable notice of any price changes before they take effect.

6. Cancellation and Refunds

You may cancel your subscription at any time through your billing dashboard. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

If you believe a charge was made in error, contact us at info@merchantmind.co.za within 7 days of the charge and we will review the request.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or available at all times
• Prices submitted to Takealot will be accepted or result in winning the Buy Box
• Competitor price data will always be accurate or current
• The Service will be compatible with all future versions of the Takealot Seller API

8. Limitation of Liability

To the maximum extent permitted by applicable law, MerchantMind shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service — even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

9. Intellectual Property

All content, software, design, and technology comprising the Service is owned by MerchantMind and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or resell any part of the Service.

10. Termination

We reserve the right to suspend or terminate your account at any time, without notice, if we determine you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination, your access to the Service will cease and your data may be deleted after a reasonable retention period.

11. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
